These Terms are a binding contract between you ("Customer" or "you") and GeneData, Inc. ("GeneData", "we", "us"). They govern your use of the GeneData platform at genedata.io and any sub-domains ("Service"). By signing up, you agree to these Terms.
1. The Service
GeneData provides a multi-tenant data-intelligence platform for ingesting, transforming, analyzing, and visualizing your data, including AI-powered features.
2. Account + Access
- You must be 18+ and authorized to bind your organization.
- One account per individual. Sharing credentials is prohibited.
- You are responsible for safeguarding your password and API tokens; we will not be liable for losses caused by unauthorized use of your account.
3. Acceptable Use
You agree not to:
- Use the Service to violate any law
- Reverse-engineer, decompile, or extract our source code
- Resell, sublicense, or expose the Service as a competing offering without our written consent
- Upload malware, attempt to compromise other tenants' data, or interfere with our infrastructure
- Use the Service for content that is illegal, infringing, harassing, or harmful

4. Plans + Billing
- Free tier is offered "as-is" and subject to usage limits in your dashboard
- Paid plans bill monthly or annually in advance, in USD unless we agree otherwise
- Usage above your plan's quotas may incur overage charges, billed monthly in arrears
- All fees are exclusive of taxes; you're responsible for VAT/sales tax in your jurisdiction (Stripe Tax computes this automatically)
- Failed payments: 7-day grace period, after which your account is downgraded to free tier; data retained for 30 additional days before deletion
- Refunds: pro-rated for unused portions of pre-paid periods if you cancel mid-cycle, at our discretion
5. Your Content (Customer Data)
- You retain all rights to data you upload ("Customer Data").
- You grant us a non-exclusive, worldwide, royalty-free license to host, process, and transmit Customer Data solely as necessary to provide the Service.
- We will not access Customer Data except (a) at your request, (b) to provide or improve the Service, (c) to investigate security incidents, or (d) as required by law.
6. Privacy
How we handle personal data is described in our Privacy Policy and (for business customers) the Data Processing Addendum.
7. Confidentiality
Each party will keep the other's non-public technical, business, and financial information confidential, using at least the same care it uses for its own.
8. Intellectual Property
- We own the Service, including all code, designs, and documentation.
- You own your Customer Data.
- Feedback you provide may be used by us without restriction.
9. Warranties + Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXCEPT THOSE SPECIFICALLY GRANTED IN AN ENTERPRISE AGREEMENT OR THE SLA. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
EXCEPT FOR LIABILITY ARISING FROM YOUR INDEMNIFICATION OBLIGATIONS, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT:
- NEITHER PARTY IS LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
- EACH PARTY'S TOTAL LIABILITY IN ANY 12-MONTH PERIOD IS CAPPED AT THE FEES YOU PAID IN THAT PERIOD (FREE-TIER CAP: USD $100)
11. Indemnification
You indemnify us against claims arising from your violation of these Terms, your Customer Data, or your use of the Service in breach of law.
12. Term + Termination
- Either party may terminate for cause on 30 days' notice of a material breach unremedied within 14 days.
- We may suspend your account immediately for security or legal reasons.
- On termination, we'll provide a 30-day window for you to export Customer Data. After that, we delete it per our Privacy Policy.
13. Modifications
We may update these Terms; you'll be notified at least 14 days in advance for material changes (price, scope of license, liability). Continued use after the effective date is acceptance.
14. Governing Law + Disputes
Delaware law. Disputes resolved by binding arbitration in San Francisco under AAA Commercial Rules, except either party may seek injunctive relief for IP violations in court.
15. Service Level Agreement
Paid plans are covered by our SLA: 99.9% monthly uptime; credits for breach.
16. Subprocessors + Data Residency
We use the subprocessors listed in our DPA. We support data residency for enterprise customers (US, EU); contact sales for details.
17. Export Controls + Sanctions
You represent that you are not located in, and will not provide the Service to anyone in, a sanctioned country (per OFAC).

19. Entire Agreement
These Terms, the Privacy Policy, the AUP, and any enterprise MSA constitute the entire agreement.
By signing up, you confirm you've read and agree to these Terms.
